Balaji Veeramani shared thisHey everyone, Happy Diwali 🪔 I hope this season brings light, peace, and clarity to you and your family. It’s been almost two years since I really wrote anything here. I’ve been around LinkedIn, just not writing much. I needed that break. I was focused on Avni, soaking in parenthood, spending time with her, learning every day, and making a few professional choices in the background that felt right. Life has been full, busy, and honestly amazing. Now I’m back to writing. There are some exciting things lined up and I’m looking forward to sharing more often. Thank you to everyone who checked in or sent messages. I saw most of them and they really meant a lot. My inbox is clogged, so I might not get to everyone immediately, but I’ll try. Balaji Veeramani shared thisHappy #Women’s Month! Last year, I shared my story about my last name, Veeramani, which is my mom’s name, during Women’s Month. This year, I have another lady joining my life, Avni Balaji Iyswarya, my daughter. Yes, she got her mom’s name as her last name too. While we were going through the whirlwind of changes at Union Pacific last November (I always believed it happened for a reason), we found out that Iyswarya was dilated on November 22nd during our regular 5-month ultrasound checkup. We were happy seeing the gender reveal of our baby while everything seemed to be going well. However, our happiness was shattered by non-symptomatic dilation. The doctors confirmed the 1 cm dilation, and they said we were lucky to diagnose the dilation upfront. The high-risk pregnancy doctors said, “If it had been delayed by another 4 days, we would have seen the baby while Iyswarya was watching TV.” Initially, we had scheduled the 5-month checkup for December 5th, 2023, but due to the Union Pacific Railroad job situation, I preponed the checkup to stay intact with the insurance (that’s why everything happened for a reason). Iyswarya underwent cervical stitches to hold the baby for some more time. From that point on, Iyswarya and I took one day at a time and pushed every week with the high-risk pregnancy. I made decisions around the baby, and nothing deviated me. We pushed until the 34th week, and we planned for a small baby shower on March 8th, but our daughter came on March 4th after 19 hours of labor. Another strong woman, Iyswarya’s mom, came all the way from India. She had never traveled to the USA and went through visa hassles to support her daughter and granddaughter. #Thanks to USCIS for showing humanity by providing the emergency visa slot for my mom and mother-in-law, even though the wait time for a regular visa was 400 days. Despite all the hassles, we have Avni, who came early and spent 3 weeks in the NICU, fighting her way back home. This whole story is very personal but has a lot of learnings. As I shared last year, women are natural nurturers, and with my daughter, I also feel they are natural healers. Doctors recommended giving skin-to-skin time for Avni for her brain development. Whenever I put her on my chest for skin-to-skin time, I always felt healed by her. It has been a long journey, but it was totally worth it. We have faced immense hardships from the outset, but it also gave Iyswarya and me the opportunity to handle tough situations as gracefully as we can. Women are unbelievable nurturers and healers. I’m lucky to have my first baby as a girl. We are committed to nurturing her fighting spirit as a future leader who can heal many in her own way. Zoom has lost the trust long while ago! Enterprises got off from Zoom and the vacating saga continues with them for all the sub par experiences they provide just like what you have explained with billing, customer support and integration. Looks like the leadership from Zoom doesn’t care about the customers!

So I finally decided to sit down and make the most detailed video I possibly can. This video is for you if you're on a work visa right now and you're tired of the H-1B lottery. It's for you if you're an engineer, researcher, product person, founder, or anybody working in a high skill field. It's for you if you've heard the words O-1 or EB-1A and dismissed them because you assumed they were for celebrities or Nobel Prize winners. Trump’s new policies that prioritize America First! Stay tuned for more updates, but here’s what we’re seeing so far: ✅More top talent: We’re approving more applicants with advanced degrees and higher salaries—especially those who studied at U.S. universities. An overwhelming 71.5% of selected aliens hold a U.S. master’s degree or higher, compared to 57% last year. ✅Stronger workforce: These skilled workers are making a real impact on our economy and we’re closing the door on the low-wage and low-skilled foreign labor pipeline approved under Biden administration policies. This year, only 17.7% of all selected registrations were in the lowest wage category. ✅Restoring integrity: The number of properly submitted registrations plummeted by 38.5%, from 343,981 in fiscal year 2026 to just 211,600 in fiscal year 2027. This data is a clear sign that the days of abusing the program with mass, low-wage registrations are over, and that the program is better serving its intended purpose of attracting highly skilled foreign workers and protecting the wages, working conditions, and job opportunities of American workers. While the site has never really worked that well, over the last week or so it is basically dead. Outage over outage make it basically impossible to pay a visa fee or to schedule an appointment. Applicants have to spend hours online just to be eventually told that the service is currently not available. This is just embarrassing for both the State Department as well as for CGI. No book, no YouTube video, just experimenting. Over time, I realized it was one of the most transformative practices for how I think and lead. Meditation gives you focus. The more you practice, the more you realize you don’t need to do 200 things. You need to do the two things that matter and do them incredibly well. It also reduces ego. And when you reduce ego, you learn faster. In the next few years, the people who learn fastest will have the biggest advantage. Most people see a deal list. I see a capability portfolio… and there is a difference. Each acquisition was a deliberate bet on a specific capability gap: • Thoucentric: Consulting and business transformation depth • MapleLabs: Cloud and platform engineering expertise • FEXLE: Salesforce capability at enterprise scale • TestDevLab: World-class quality engineering for the AI era, plus a European footprint Separately, each is a strong strategic addition. Together, they are something more… a company that can take a client from strategy through engineering, from cloud migration through AI quality assurance, across geographies and time zones. That is not something you can build quickly from within. You architect it deliberately over time. The framework I use to evaluate whether an acquisition compounds the portfolio: 𝗧𝗵𝗲 𝗰𝗮𝗽𝗮𝗯𝗶𝗹𝗶𝘁𝘆 𝗴𝗮𝗽 𝘁𝗲𝘀𝘁: What does this add that we cannot build organically in 24 months at comparable quality? If the honest answer is less than 18 months, organic is faster. If it is 3–5 years, the acquisition almost always wins. 𝗧𝗵𝗲 𝗰𝗼𝗵𝗲𝗿𝗲𝗻𝗰𝗲 𝘁𝗲𝘀𝘁: Does this make the existing portfolio more valuable, or more complex? The best acquisition is the one that makes everything else click better together. 𝗧𝗵�� 𝗽𝗹𝗮𝘁𝗳𝗼𝗿𝗺 𝘁𝗲𝘀𝘁: Can this team access more opportunity as part of Xoriant than independently? The answer has to be yes, every time. From a CFO lens, the filter is simpler and harder at the same time: does this acquisition multiply the valuation of the company, or merely add to it? Addition is easy. Multiplication requires three things working together. Genuine capability that clients cannot get elsewhere, differentiation that justifies a premium in the market, and platform leverage that drives exponential outcomes rather than linear ones. That is the financial test that sits above all the others. And it is the one most acquirers skip. The fifth acquisition, when it comes, will be evaluated against these same tests. The standard is not whether the deal looks good on a model. It is whether, in three years, we look at what we built together and say: that was the right bet. The same move that could fuel growth and create lasting value can also drag the company and strain cash flow. Here's what it means for a CFO: The job is to hold that tension before the room gets emotional about a deal. Every stakeholder is watching through a different lens. Investors are asking whether this justifies equity infusion while keeping operations funded. Lenders worry about how much more leverage it adds to the balance sheet and affordability of the company to pay the borrowing costs. Employees are looking for wealth creation on the other side. And the acquired company brings its own confidence, its own risks, and unknowns about synergy. The CFO must speak to all of them simultaneously. The whole process looks like a roller coaster ride. You find a company that feels made for you. You discover facts. You work through risk. You build clarity on what’s in it for everyone through earn-out structure and deal architecture. You negotiate, renegotiate, and then if you’ve done the work, you celebrate. But only the financial groundwork laid before any of that begins determines whether the celebration lasts. Identification: Set the lens before the story By the time a deal gets exciting, the room is emotional. The CFO's job is to build the financial screen before the emotion kicks in. Three questions I ask: 1. What capability does this add that we cannot build in 24 months? 2. What does the full integration investment look like, with synergy at core? 3. Can we give this acquisition the attention it truly deserves? Due diligence: Numbers tell "what", people tell "who" Financial diligence validates the economics. But conversations with leadership reveal something important. The vision, culture, what they have built, why they are proud of it. At every acquisition we have done, I walked away from those conversations more excited about the people than when I started. Negotiation: Protect what matters Three things I always protect: earn-out design, investments allocation for enabling synergy, and accountability of integration. A good negotiation is one where both sides feel they got something meaningful out of it. Closing: Day 1 is celebration & a starting line The announcement is genuinely exciting. The finance team's job is to make sure it feels that way with processes and reporting structures ready before the ink dries. Integration: Building one team together The most rewarding part of any acquisition is watching firms discover what they can build together. We have been deliberate about this, with not just systems and processes, but culture and belonging. M&A done well is a capability strategy. The financial architecture is how you make it sustainable & ensure there are no loose ends.
