Barnes Aerospace Acquires EHO Division of ATI Forged Products

The CMA is flexing its new merger control powers under the DMCC Act, putting the "hybrid" jurisdictional threshold to work. Boeing’s takeover of Spirit Aerosystems was cleared by the CMA at Phase 1 in August, after jurisdiction was asserted on the basis of the new threshold. Spirit was a leading US aerostructures supplier, with Boeing and Airbus as its main customers (although the assets used to produce components for Airbus were carved out of the deal). Whilst Boeing and Spirit were vertically linked (Spirit supplied aerostructures to Boeing for the production of large commercial and military aircraft), the parties didn’t meaningfully overlap in UK. The CMA asserted jurisdiction based on Boeing’s strong UK presence (a 33%+ share of supply for "heavy lift helicopters" and UK turnover over £350m). The target, Spirit, only needed to meet a low bar 'UK nexus' test. Whilst the deal was cleared easily by the CMA (on the basis of a lack of ability to foreclose rival OEMs), there are several interesting points for deal makers. See the slide deck below.
