📣 Client alert: SEC Proposal to Simplify Public Company Reporting The SEC has proposed changes to executive compensation and governance reporting rules for public companies under roughly a $2B market value. For many smaller and mid‑sized issuers, this could mean no auditor attestation on internal controls, shorter disclosures and more time to file, while leaving the largest companies mostly unchanged. That may cut compliance costs. But investors, proxy advisors and employees are still likely to expect clear, credible information on how executives are paid and how the company is governed. Boards, CHROs and compensation committees will need to decide whether to move toward the minimum required or keep stronger disclosure to support trust, credibility and investor confidence. Aon’s Executive & Board Advisory and Global Corporate Governance teams are helping clients weigh these trade‑offs and plan next steps.
