For the past few years — and especially in the last few months — I’ve been noticing a pattern quietly emerging in crypto. Not token launches. Not liquidity wars. A market for licenses. Across #fintech and digital assets, companies are increasingly acquiring regulated entities in different jurisdictions — not for the underlying business, but for the license attached to it. A dormant VASP in one jurisdiction. A payments institution in another. An offshore entity that happens to hold regulatory approval. On paper, the logic is straightforward: regulatory licensing can take years, cost millions, and remain uncertain. Buying an already licensed entity appears to compress time, unlock banking relationships, and accelerate market entry. But legally and regulatorily, things are rarely that simple. Financial regulators have long relied on doctrines like substance over form, fit-and-proper assessments, and strict change-of-control scrutiny. A license does not always travel cleanly with a corporate acquisition, and the value founders believe they are buying can sometimes turn out to be far less durable than expected. Having spent time around these transactions — both where they succeed and where they quietly unravel — I decided to write about the deeper mechanics behind this phenomenon: the economics, the legal doctrine, the regulatory realities across jurisdictions, and why the industry has effectively created a market for regulation itself. I’ve also been a little quiet on LinkedIn over the past couple of months. Life had its own timing — from getting engaged to sitting in Dubai during the Iran–US geopolitical escalation, watching how quickly global systems can become fragile. Moments like that tend to make you reflect more carefully about the systems we build — financial, legal, and institutional.
