**Looking at sub-$1M EBITDA deals? Don't make this financing mistake** I often hear from buyers chasing $500K EBITDA businesses while simultaneously trying to avoid SBA financing. Let me save you a lot of wasted time & effort. If your target company is doing under $1M in EBITDA, and you're eligible for SBA loans, structure your deal around SBA guidelines from day one. Not as a backup plan. Not as "option B." As your primary strategy. Why? Your alternatives are pretty grim: 💰 Conventional bank debt usually won't touch deals this small (many have $5M+ minimums) 💰 Alternative lenders will charge you 15-18%+ interest rates 💰 Those same expensive lenders? They'll often still want a personal guarantee anyway So you end up with onerous terms to get the same personal exposure you'd have with an SBA loan at 8-9%. That's not financial engineering, that's just expensive. The only real exceptions are buyers who literally can't use SBA financing (non-citizens without green cards, or businesses that don't qualify under SBA rules). If that's you, then yes, explore alternatives. But for everyone else? Stop trying to outsmart the system. The SBA 7(a) program exists precisely for deals this size. It's designed for it. Use it.

We only do deals where the developer is the last one to get paid. Sounds backwards? To LPs, it shouldn’t. Here’s the thing: in most development syndications, the sponsor gets acquisition fees, management fees, and sometimes promote before the project even breaks even. That might work in bull markets. But in real estate cycles like this? It creates misalignment. We flipped the model. In our JV and co-GP partnerships: LPs and landowners get double return of capital before profit splits kick in. At GIS Companies we don’t front load any profit. Our upside is back-loaded. We cover enough for up front direct expenses and thats it. The promote only triggers after investors are fully de-risked. Why? Because we’ve lived through the alternative 30 employees, 3 active projects, and a market shift that erased millions in value. No LPs were in those deals, but the lesson stuck: Protect the capital. Then earn the upside. We’re now rebuilding the business with a simple filter: Would I let my sister invest in this deal? If the answer is anything but hell yes, we pass. Here’s the irony: LPs talk about “alignment” all the time but rarely ask how developers actually get paid. So here’s my question to fellow investors: Do you know when your developer makes money and what they risk if the deal goes sideways?

A CRE developer came to us after three bank rejections on a $42M ground-up multifamily project in the Southeast. The problem wasn’t the deal — the deal was strong. 6.2% projected yield on cost, 1.35x DSCR at stabilization, proven submarket with 97% historical occupancy. The problem was the capital stack. They had structured 75% senior debt with a single bank, 10% mezzanine at 14%, and 15% GP equity. Sounds reasonable on paper. But here’s what institutional LPs saw: a GP with too much personal capital at risk, no LP co-investment mechanism, a mezzanine layer that compressed returns below institutional hurdle rates, and no promote structure that aligned incentives. We restructured the stack: 65% senior construction debt (two-lender club deal to reduce concentration risk), 15% preferred equity at 10% pref with a 1.5x equity multiple, 12% LP co-investment with an 8% pref and 70/30 promote above a 15% IRR, and 8% GP co-invest. Result: The LP raise was oversubscribed in 19 days. The sponsor kept 70% of the promote. Blended cost of capital dropped 280bps. The deal was always good. The structure is what got it done.

Most Business Loan Brokers misquote the cost of a merchant cash advance. They do this so the borrower does not understand how gross the product really is. Lets demonstrate; Approval for $100k with a Payback of $135k over 52 weeks. No Upfront fee for simplicty Broker 1 Misquote: Yeah the rate is 35% on this Broker 2 Misquote: The rate is only just under 3% per month. Both are wrong. There is no rate here. It is a fee. Correct way to quote. You will be charged a 35% Fee upfront on your loan that we will finance equally over your 52 payments... So your weekly 52 payments are $2,596.15 per week. Of which, you will pay $673.08 per week in fees for the next 52 weeks for the right to borrow $100k. MCA cost is simply amortized fees over the life of the advance. If your capital stack still looks like this: ➡️ 70% agency loan ➡️ 30% investor equity …you’re going to get stuck. This market is not built for cookie-cutter capital structures anymore. Here’s what the most adaptive GPs are doing right now: 🧩 Strategy #1: Bridge + pref equity combos Agency debt isn’t cutting it, especially with value-add or short-term plays.  So operators are turning to bridge loans + preferred equity to get deals done. → Example: One team used 60% LTC bridge + 20% pref equity + 20% LP capital to get a deal closed fast and keep returns strong. The pref equity firm got a fixed return; LPs shared in the upside. You have to know how to underwrite the downside and exit. 🧩 Strategy #2: Tiered LP tranches (cashflow vs. equity growth) Not all LPs want the same thing. Some want yield now. Others want the backend upside. Smart operators are offering two tranches: Tranche A: 10% pref, no upside Tranche B: 6% pref + 50/50 backend split → It’s more complex, but it matches capital to investor needs, which means higher conversion and more flexibility in raising. 🧩 Strategy #3: Using co-GP models strategically Co-GPs used to be a last resort. 𝗜 𝘀𝗲𝗲 𝘁𝗵𝗶𝘀 𝗺𝗶𝘀𝘁𝗮𝗸𝗲 𝘄𝗮𝘆 𝘁𝗼𝗼 𝗼𝗳𝘁𝗲𝗻: 𝗖𝗼��𝗳𝘂𝘀𝗶𝗻𝗴 𝗺𝗼𝘃𝗶𝗻𝗴 𝗳𝗮𝘀𝘁 𝘄𝗶𝘁𝗵 𝗺𝗼𝘃𝗶𝗻𝗴 𝗶𝗻 𝗮 𝗽𝗮𝗻𝗶𝗰. Most commercial loans mature after 5 or 10 years with a balloon payment. That's normal. Waiting until 30 days before maturity to address it? That's not. At CapGuide Funding we move at unheard-of speeds. But the cheapest option is rarely the fastest one, and coming to a broker 30 days before maturity isn't a strategy—it's a rescue mission. This is one of the most interesting stats for multifamily in 2025: 1) Earlier this year, AvalonBay acquired 8 apartment properties across suburban Dallas and suburban Austin at a cap rate in the "high 4s," according to their press release. 2) This month, AvalonBay announced plans to sell 4 apartment properties in urban Washington, D.C. (inside the District) at a cap rate the buyer said was 5.94%. These are newer-vintage, Class A deals in both cases. So that's a cap rate premium of 100 bps to be in suburban Texas over the urban core of the nation's capital. It's worth noting these deals are not directly comparable for a variety of reasons, but even still, I can't imagine such a spread any time in history prior to COVID. It'd more typically have been reversed. Sales data shows the cities that were once the nation's most liquid -- D.C., Los Angeles, New York -- are less liquid today, and liquidity (investor appetite for a market) impacts pricing. The reason for the shift is not primarily demand side (solid fundamentals in most cases), but policy driven. There is a risk premium to invest where you are viewed as "the bad guys" and local policies reflect that antagonistic approach... (which of course inevitably backfires on renters via reduced supply and higher rents). A few thoughts (and feel free to add others): 1) Is a 100 bps discount for coastal urban the new normal? I don't think so. Cycles happen. When the discount to take on risk expands, opportunistic buyers step in. But that's now an opportunistic bet instead of a core one. Any buyer is banking on these cities adopting some level of regulatory reform or at least a more predictable playing field, and/or just drawn by a very attractive basis well below replacement cost. So don't get me wrong: These cities aren't falling off the map for investors. BUT there is undoubtedly smaller pool of investors today willing to invest in those spots. So those cities are gonna settle into a new normal somewhere between the pre-COVID cap rate premium and this deal's 100 bps discount. 2) Prime suburbs of major markets with lower regulatory risk are now arguably the most liquid in the country. There's a price premium that comes with that (particularly in NIMBY-shaped suburbs where it is super tough to build), and that makes it tougher today for sub-institutional, opportunistic buyers to be buyers in places like Texas -- or even coastal suburbs like Northern Virginia and east side of Seattle etc. Smaller investors previously active in those submarkets will have a tougher time to compete going forward -- and that's already true today. Where does that push those buyers in the next cycle? Lower-tier suburbs? Nearby tertiary markets? Other thoughts?
