Belinda Johnson liked thisBelinda Johnson liked thisRecently, I was privileged to received the National Bar Association's Junius Williams Humanitarian Award. I am grateful to have received awards throughout my life, but this one feels different. I actually shed a tear. Being called a Humanitarian, someone who "promotes the good fortune, health, happiness, prosperity" of others in the world is not something I take lightly. I knew very early in life that God's purpose for my life was to be a servant. Whether that was being a waiter at Pappadeaux's Kitchen, a singer in Young Life choir, or giving back to communities I grew up in. I really don't have any fancy post...this is stream of consciousness. I am just so grateful and humbled, and feel even more committed to continuing to serve. Thank you to the National Bar Young Lawyer's Division for honoring me with such a beautiful award. Because I am a hip hop fan...in the words of Drake "What's the move? Can I tell the truth? If I was doing this for you then I'd have nothing left to prove. This for me though, I'm just tryna stay alive and take care of my people. It was great to connect with the team and sit down for a fireside chat with Franz Paasche to share my personal and professional journey and my view on our path forward as a company – as well as help celebrate our inclusion in this year’s JUST Capital and Forbes Just 100 list. I also had the pleasure of joining a panel hosted by the The Financial Times, at their annual Outstanding Directors Exchange event. It was a great conversation about global perspectives and emerging trends in corporate governance, and I was thrilled to share my experience from my work at PayPal and as a sitting board member of Hitachi. The Autonomy Trap: Why Agentic AI Breaks Traditional Contract Liability Post 2 of 12 Let's talk about execution risk. For the last few years, corporate legal teams focused heavily on generative AI’s outputs; we worried about copyright infringement, hallucinations, and data privacy. In 2026, the paradigm has fundamentally shifted toward Agentic AI; we are no longer just dealing with systems that recommend, but systems that execute multi-step tasks autonomously across enterprise networks. When an AI agent is authorized to negotiate vendor agreements, process payments, or alter cloud infrastructure, the concept of a "human in the loop" often becomes a logistical fiction. If an autonomous agent executes an unsuitable transaction or violates a data localization rule in California or Singapore, the critical question is who bears the liability. The prevailing legal doctrine still overwhelmingly attributes the actions of the AI to the principal; if your company deploys the tool, you own the resulting commercial and regulatory liability. Standard SaaS indemnification clauses are entirely inadequate for this new reality. As in-house counsel, we cannot rely on legacy B2B contracts that treat agentic AI like static software. We must require developers to embed deterministic governance directly into the architecture; prompt engineering is legally unsafe, whereas hard-coded permission boundaries are legally defensible. If a vendor cannot explicitly define and guarantee the operational "blast radius" of their agent, they should not pass procurement. This requires a fundamental shift in how we conduct software due diligence. Before signing off on any agentic deployment, legal teams must verify that the principle of least privilege is enforced programmatically. The solution is not to block autonomous tools and stifle operational efficiency; rather, we must architect commercial agreements and technical guardrails that match the autonomy of the system itself. New York Gov. Kathy Hochul on Thursday signed what her administration called the nation’s first AI bills designed to both protect consumers and increase transparency in the film industry. The New York bill requires anyone producing or creating an ad to provide a disclosure if it includes AI-generated synthetic performers. A separate but related piece of legislation requires consent from heirs or executors if a person wants to use the name, image, or likeness of an individual for commercial purposes after their death.
