Haveli Investments closes debut $4.5bn software buyout fund led by Vista Equity Partners co-founder Brian Sheth. The fund, which closed at its hard cap in March, targets both minority and control stakes in enterprise software businesses. Since its inception, Haveli has pursued an active acquisition strategy. It acquired cybersecurity risk management firm AppViewX, and ZeroFox Holdings, a cybersecurity services provider. The $4.5bn fund signals strong investor appetite for sector-specialist strategies in enterprise software, even as broader fundraising conditions remain mixed across the private equity landscape. Most are aware they need to act. Very few have.

Big milestone for Buffalo fintech: Verivend (Y7) has been acquired by iAltA, a portfolio company of investment firm WestCap. Since 2019, Verivend has processed over $2 billion in private capital transactions and built one of the most efficient B2B payments platforms for GPs and LPs. 💡Emerging GP Fundraising Insight #8: Rolling Closes Keep You Moving Small funds can't always afford to sit still until the target is hit. Rolling closes let you start deploying earlier, build a track record, and show momentum to prospective LPs. One GP told me that for Fund I ($5M target), he took capital as it came, signed, wired, and got to work. It wasn't perfect, but it kept the lights on and the deals moving. Sometimes the "sign and wire as it comes" approach is the only way to get moving. Takeaway: Momentum is a fundraising asset and rolling closes can help you keep it. Has anyone here used rolling closes as a strategic advantage?

How will tariffs impact 2025 lower middle market M&A, diligence processes, multiples? We don't have a crystal ball either, but we interviewed a few lower middle market bankers who are actively working with affected business owners and we shared the writeup today on the Axial blog. + due diligence has changed rapidly and there are new checklists already built around this topic. Owners be ready for this. + LOIs are breaking / getting pushed out. Hopefully yesterday's announcement at least provides clarity.
