Regulators are issuing fines to financial services firms for their employees’ use of unauthorized off-channel communications (OCC), including the use of personal mobile devices and apps such as Signal and WhatsApp. Financial institutions are required to maintain copies of all communications regarding their business, supervise the recording of that information, and produce it in response to requests by regulators. However, firms cannot meet those regulatory obligations when employees use unauthorized OCC for business-related matters. In this paper, Antonio Rega and Stephen Strombelline examine the risks that OCC pose and how firms should be setting up clear policies regarding the use of unauthorized apps and personal devices to ensure compliance with federal securities laws and regulations.
