  • Nasdaq has officially signaled its intent to tokenize listed equities creating digital representations of traditional stocks. This move, though technologically innovative, stays firmly anchored in the current regulatory frameworks. From a U.S. legal standpoint, these tokenized assets will remain securities, subject to the SEC’s jurisdiction and the Howey test. Nasdaq’s proposal emphasizes investor safeguards, asset-backed validation, and platform accountability, not a disruption, but a modernization. Meanwhile, Europe’s approach via MiCA excludes tokenized equities from its scope, pushing them toward sandbox regimes like the EU’s DLT Pilot Regime. Unlike crypto-native tokens, tokenized stocks bridge regulated capital markets and digital innovation with compliance at the core.
