    AI systems are quietly becoming part of corporate governance infrastructure. Boards often assume that when decision-making becomes automated, responsibility moves with it. It does not. As organisations deploy AI systems, decision engines, and digital governance platforms, discretion is no longer exercised only by people. It increasingly operates through systems that structure how decisions are made across the enterprise. Yet fiduciary law has never permitted directors to delegate accountability for the architecture through which authority is exercised. In my latest article, “Boards Cannot Delegate Accountability”, published by Aptly, I examine how existing fiduciary doctrine already addresses this shift. The argument is straightforward. When systems become persistent, non-optional, and decision-structuring, they cross what I call the Delegation Threshold. At that point, governance responsibility moves upstream. The legally relevant question is no longer whether a particular system output was correct, but whether the board exercised disciplined architectural judgment in designing and supervising the system that produced it. The article translates fiduciary oversight doctrine into five practical architectural conditions for system governance: • attributable authority • bounded scope • structured refusal capacity • operational reversibility • drift control This is not a call for new duties or AI exceptionalism. It is an application of established fiduciary principles to a new organisational reality.   • Jim Hannaford of EY raises an important point here. The conversation around AI is rapidly shifting from capability to governance. As organizations move from AI assistants to agentic systems that can influence or execute decisions, the real challenge becomes defining how authority and accountability work in practice. Most enterprises already govern human decision making through Delegation of Authority frameworks. These structures define who can approve transactions, sign contracts, settle claims, or commit the organization financially. The next governance question is how those same principles apply when AI systems participate in operational decisions. Some emerging considerations we are seeing across financial services and insurance include: • defining clear authority limits for AI assisted decisions • establishing human approval checkpoints for higher risk actions • ensuring accountability remains tied to responsible humans • maintaining audit traceability across both human and AI decision participants In many ways this is not about replacing existing governance frameworks.     The conversation around AI is quickly moving from capability to governance. Over the past year, most enterprise discussions have focused on what AI can do. Increasingly, the harder question is becoming how organizations govern systems that influence decision-making itself. Traditional risk models assume tools execute human intent. AI challenges that assumption by introducing probabilistic reasoning, adaptive outputs, and scale of influence. It must reflect how decisions are truly made across finance, operations, procurement, human resources, technology, and governance. For executive leaders and boards, the goal is alignment between policy and practice. An effective Delegation of Authority framework typically includes: 👉 Defined scope Clarify which entities, functions, and decision categories are covered. In complex enterprises and public institutions, authority may differ across subsidiaries, departments, or funding sources. 👉 Clear decision types Move beyond generic approval labels. Identify real decision scenarios such as capital expenditures, vendor contracts, hiring approvals, grant allocations, and strategic investments. 👉 Financial and risk thresholds Specify monetary limits and qualitative risk boundaries. Define when escalation is required and who assumes responsibility at each level. 👉 Role based accountability Tie authority to positions rather than individuals. This ensures continuity when leadership changes occur. 👉 Exceptions and special cases Document where deviations are permitted and under what conditions.   • AI governance is entering a structural phase. As AI systems move from discretionary tools to operational infrastructure, the governance question changes. The debate is no longer centered on alignment alone. It is about how authority is designed, delegated, and made accountable inside institutions. When AI becomes embedded, persistent, and non optional, organizations are not simply adopting technology. They are exercising entrusted discretion through architecture. That shift carries fiduciary weight. In this environment, governance must move upstream. It must address who has authority to deploy systems, who can delegate decision rights, how escalation works, and whether responsibility can be reconstructed across time. Traceability, contestability, and revisability are not features. They are structural conditions for legitimacy. At AptlyDone, we see this shift clearly.     AI governance is entering its second phase. The first phase focused on alignment, safety, and whether AI systems are “agents”. That debate remains useful, but it does not address the immediate legal question. What changes once AI becomes operational infrastructure rather than a discretionary tool? When systems become persistent, embedded, and non-optional, organisations are no longer simply using technology. They are exercising entrusted discretion through architecture. At that point, governance shifts from risk management to duty. Three implications follow. First, governance is no longer primarily about controlling behaviour. It is about designing defensible decision environments. Liability will increasingly attach upstream—to architecture, integration, and oversight—rather than downstream to isolated outcomes. Second, institutions deploying such systems begin to resemble fiduciaries. Where clients, patients, or policyholders must organise decisions around system outputs, the deploying organisation becomes responsible for the epistemic conditions under which those decisions are formed. Third, the central legal test will not be whether an AI system is “safe”, but whether the chain of delegation is auditable. Courts and regulators will ask whether responsibility can be reconstructed across time. Where it cannot, the failure is structural. Traceability, contestability, and revisability are therefore not compliance features. They are emerging legality conditions for authority. The real governance shift is not from human to machine.   • Digital coworkers are already here. The harder question is: who gave them the right to decide? Goldman Sachs recently embedded Anthropic engineers and stood up LLM-based agents that read trade records, interpret policy, follow step-by-step rules, and decide what to process, flag, or route for approval. The result: faster client vetting, fewer breaks, and slower headcount growth, not just “copilot” assistance, but true operational execution. That shift exposes a governance gap most enterprises haven’t closed yet: Who holds formal authority in your workflows; humans, roles, or whoever appears on an outdated signatory list? 🔔 Where are decision rights actually recorded, and are they dynamic, integrated with HR and identity, and time-stamped? 🔔 What are the explicit boundaries of what your AI agents can decide vs. what must escalate? 🔔 Can you audit who (or what) had the authority to approve a decision six months ago? If agents are making accounting, reconciliation, and compliance decisions on top of stale authority structures, you’re not just moving faster, you’re automating error and expanding operational risk.
