🤔 Are you thinking about incorporating your PCN - but not sure where to start? More Primary Care Networks across the country are exploring corporate models to manage growth, mitigate risk, and simplify workforce arrangements. It's a conversation we're having more and more at DKJ. But incorporation is rarely straightforward - and it's widely misunderstood. Incorporating a PCN doesn't mean the PCN itself becomes a company. In most cases, it means the member practices create a separate corporate vehicle - typically a company limited by shares - to take on specific functions. That might include back-office and management support, employing ARRS or other staff, or sub-contracting clinical services from the PCN. And the complexity doesn't stop there. Getting the structure right means working through a significant number of interconnected issues: 🔹 Governance - how the company is owned, directed, and held accountable by member practices 🔹 Tax and VAT - including the VAT position on services provided back to practices, which is frequently overlooked 🔹 Pensions - NHS Pension Scheme access for staff employed by a limited company is not automatic and requires careful structuring 🔹 TUPE - if staff are transferring from practices or the PCN into the new entity, transfer of undertakings obligations apply 🔹 CQC registration - if the company will carry out regulated activities, it will need its own registration 💡 That's why we developed the DKJ Checklist for PCN Incorporation - a practical tool to help you decide whether incorporation is right for your PCN, define the functions and governance of your company, and navigate each of these areas with confidence. 🔎 Is your healthcare bid scoring as highly as it could on social value? Social value has grown significantly in weight across NHS and public sector tender evaluations - and it's no longer something you can address vaguely at the end of your bid. Social value is the benefit your organisation brings to the community beyond delivering the service itself. Evaluators want to see commitments across three core areas: 🔸 Economic impact - hiring locally, supporting local businesses in your supply chain 🔸 Environmental impact - reducing carbon emissions, using sustainable products and processes 🔸 Social impact - improving community wellbeing through workshops, volunteering, or targeted support for vulnerable groups The difference between a good social value response and a weak one comes down to specificity. "We plan to employ more staff locally" carries little weight. "We will recruit five unemployed local residents, provide structured training in patient care, and track retention rates throughout the contract" is the kind of commitment that scores. Strong bids also: 🔸 Align social value commitments to the specific needs of the community being served - high unemployment, low health literacy, digital exclusion 🔸 Reference local strategies or public health priorities to demonstrate genuine local knowledge 🔸 Back commitments with measurable targets and clear timelines 🔸 Draw on the organisation's existing track record in community outreach or sustainability When you prove you are serious about social value, you show the buyer that you care about more than winning the contract - you care about the bigger picture. 💡 At DKJ, social value is built into every bid we write. Yesterday, DDLMC hosted an update event at The Farmhouse at Mackworth. This was the second session in our current series with DKJ, focusing on CQC - a how to. We were delighted to welcome Kiran Johnson from DKJ back to deliver another informative and engaging presentation, covering the latest CQC updates and requirements. Key topics included returning to good practice, responding to requests for evidence, and effective evidence collection to support practices through the inspection process. Thank you, Kiran, for your valuable input and continued support at our latest update event. Hayley Scott, Practice Liaison Officer at DDLMC, also provided attendees with an update on current DDLMC activity, including the ongoing collective action work and work surrounding unexpected deaths in the community. Tim Skinner, also Practice Liaison Officer at DDLMC, delivered a session on CQC and how to be inspection ready, following a recent inspection at a local practice.
