The court held that a tenant cannot be required to bear building-wide common area maintenance costs based on a proportional floor area calculation where such obligations were not expressly agreed upon at the time of contract formation. This ruling effectively concludes a long-standing dispute between the landlord and tenant. The decision reinforces the principle that maintenance fee obligations in commercial leases must be based on explicit contractual agreement, and limits attempts by landlords to unilaterally impose additional costs not originally agreed upon. 🧪Dentons Advises ADEL on Exclusive Worldwide License Agreement with Sanofi for ADEL-Y01, a novel antibody therapy for Alzheimer’s disease SEOUL / PITTSBURGH—March 26, 2026—Dentons advised ADEL, Inc., a Korean biopharmaceutical company focused on discovery and development of therapies for neurodegenerative diseases including Alzheimer’s disease, on its exclusive worldwide license agreement with Sanofi for the development and commercialization of ADEL-Y01, a tau-targeting therapeutic for Alzheimer’s disease. Under the agreement, ADEL granted Sanofi exclusive worldwide rights to develop and commercialize ADEL‑Y01, with ADEL receiving total potential consideration of up to US$1.04 billion, including a US$80 million non‑refundable upfront payment, additional development and commercial milestone payments, and tiered royalties on net sales up to double‑digit percentages. ADEL‑Y01 is currently in a Phase 1 clinical trial in the U.S. under an FDA‑approved IND. Dentons advised ADEL in all significant aspects of the transaction, including deal structuring and negotiation, due diligence and intellectual property and patent counseling. Announced at the National People’s Congress, the case now serves as a guiding precedent for lower courts across China in protecting foreign investment. Beyond securing a favorable judgment, Dentons Lee achieved full enforcement and repatriation of approximately KRW 18 billion (approximately USD 14 million)—demonstrating a rare, end-to-end success model in the Chinese market where enforcement risks often remain high. The case is particularly notable for its strategic application of the “abuse of shareholder rights” doctrine, overcoming structural limitations in Chinese corporate law and setting a new standard for foreign investor dispute resolution. 📢 Dentons Lee Secures Supreme Court Reversal in Golf Course Design Copyright Dispute Dentons Lee successfully represented Golfplan, a leading global golf course design firm, in a landmark decision by the Supreme Court of Korea involving the copyright protection of golf course design. The Court recognized that golf course design may qualify as a protectable work under copyright law where the selection, arrangement and combination of course elements reflect the designer’s creative expression. The ruling provides important legal guidance for the rapidly growing global screen golf and golf content industries.
