Appointment or Re-appointment of Secretarial Auditors with effect from 01 April 2025 Two major changes are brought out vide SEBI LODR 3rd Amendment Regulations 2024 wrt Secretarial Audit and Secretarial Compliance Report Regulation 24A- (1) is substituted and (1A) to (1C) are inserted, and after 24 A (2), a new Proviso is inserted. Regulations 36 (5)- Secretarial Auditor shall be appointed by shareholders, and hence Notice and Explanatory Statement to give certain information. On 23 April 2025 SEBI has issued FAQs on SEBI LODR which has clarified about the appointment of Secretarial Auditors. In this article , we InCorp India have discussed about the Eligibility Criteria for Secretarial Auditors, Appointment, Re-Appointment, Casual Vacancy and Removal of Secretarial Auditor, mandatory tenure, Do and Don’ts of Services by Secretarial Auditors, certain disclosure in Explanatory Statement of Notice regarding appointment or re-appointment of Secretarial Auditors and few FAQs.
