Predatory investors have a new $1M trap to steal your profits. They put in $19K, while YOU guarantee $900K in loans. Here's their playbook: When buying a $1M business with an SBA loan, you need $100K down. The bank finances the remaining $900K. But YOU must personally guarantee that entire loan. After 17 years in acquisitions, I've identified their two-step scheme: Trap #1: Cash Value Deception They say: "This isn't a $1M deal. It's just a $100K investment." Then offer 19% ($19K) for 19% ownership. Why 19%? Because at 20%+, they'd legally need to sign loan guarantees. You front $81K and take on the entire $900K risk. This completely ignores enterprise value. The business is worth $1M, not $100K. Their $19K should buy much less than 19%. Trap #2: "Expert Services" Cash Drain After purchase, they introduce mandatory "experts" to "help grow your business." These services can drain $40K+ monthly from your profits. Meanwhile, YOU handle: • Loan payments • Daily operations • Working full-time • All financial risk • $900K loan guarantee The perfect imbalance: • They invest minimally ($19K) • Add zero time running the business • Take no risk (not on the loan) • Extract cash flow through "services" • Still get 19% upside if you somehow succeed How to protect yourself: 1. Value deals on enterprise value, not cash 2. Question ownership that exceeds actual risk 3. Be wary of mandatory "expert services" 4. Get all fee structures in writing Red flags to watch for: • Focus on their small investment • Avoiding guarantees • Vague track records • "Expertise" with high fees • Rushing decisions In balanced deals, risk and reward align. You can easily get a VA in the Philippines for $5 per hour. (And many would take that in a heartbeat) That should make you uncomfortable. Yes, there are talented VAs who’d accept that rate. But that doesn’t mean we should take it. Here’s what $5/hour really gets you: Someone juggling 8 other clients to pay rent. Someone who can't afford to care about your SOPs. Someone who'll drop you the second they find $6/hour. That's not a team member. So yeah, you can pay $5/hour. BUT if you treat people like low-cost help, they’ll give you low-cost output. But if you invest in them – coach them, pay them fairly, and build trust... They’ll own their role, overdeliver, and they’ll make your life easier. (Which is, I think, the whole point of hiring them.) Treat your team (onshore or offshore) like partners. It pays back every time. Pay what the work is worth. And watch what happens when people can afford to care about your business.

I bought this exact business described and I’m not convinced I’m cut out for it - a $1m business is never passive. Hell, a $3M business is never passive. If someone is telling you they spend 3 hours a week on a $1m a year business, I call bull crap. - many SMB owners aren’t prepared to sell at all. You’ve got to be able to sniff this out in your due diligence. But when that falls on the first time buyer, it creates a huge potential risk I'm 18 months in on our 2nd acquisition of a small business, it's been a bumpy ride for sure... The 1099-NEC: Don't Get Left Behind! Key Deadlines and Why They Matter Do you pay independent contractors or freelancers? If yes, the IRS expects paperwork from you—1099s. These forms are not optional. Failing to do them will have unexpected and often substantial penalties that no company wants. Here's a quick breakdown, bullet-point overview of what every business needs to know in order to navigate non-employee compensation successfully and avoid fines: Who needs a 1099 form?  If you’ve paid an independent contractor or an unincorporated business $600 or more in a tax year, you most likely need to file a 1099. This applies to all types of jobs, including consultants, designers, virtual assistants, and other project-based workers.  The golden deadline: January 31st  January 31st of each year is the deadline for sending 1099 forms to contractors and the IRS. You can lose money by missing this deadline, so plan ahead for simple year-end tax reporting. Which form do you need? For most payments to individuals who are not employees for services, you will be using Form 1099-NEC (Non-Employee Compensation). This form officially replaced Box 7 of the old 1099-MISC form in reporting payments to contractors. This is now the standard for contractor payments. I made $10,000,000 by 22. But growing up poor in Romania, I had to change my entire worldview to get here. I did so by getting mentors (like when I spent $100k to meet Andrew Wilkinson and Chris Sparling who built a $150M company) My favorite principles I learned from them: 1/ Don't ask for advice "Be careful when asking for advice. It's better to ask for stories." Most advice fails because it lacks context and real-world application. Ask "Tell me about a time when..." instead of "What should I do about...?" - you'll get actionable insights rather than generic advice that's out of context. 2/ Say YES more before you hit 30 "Your 20's are for collecting experiences." I often forget this myself, but I should say yes to more: Business trips. Meeting new people. Travel for fun. Try a new activity. Anything — just say YES more. 3/ Mentorship as inspiration "Listen to those ahead of you. But never ignore your own judgement." Wilkinson's top mentors are Warren Buffet and Charlie Munger. But his company wouldn't be worth +$100s of millions if he'd followed their exact playbook in the 2010s. 4/ Obsession pays dividends "Your best business idea is the one you can't stop thinking about at 2am." This is how Wilkinson built Tiny Capital and Meta Labs from $0 to $100M+ in 13 years. And how I started my first company at 19 which made me $10M. 5/ The life you want isn't far off "The 'billionaire lifestyle' costs about $1.5M/year, maybe $2M if you fly private a lot." It stunned me to hear that after $2M annually, the quality-of-life improvements become marginal. You'll reach $2M sooner than later, so this only makes it even more important you find a path you love, not for the outcome but for the game itself. The work must be the reward. That's the only way you'll last long-term. 6/ Take strategic shortcuts "Acquisitions can be the best way to accelerate growth." Instead of spending 3 years building a SaaS product from scratch, buy a company with 80% of what you need for $2-5M. Wilkinson bought 30+ profitable businesses instead of starting them. 7/ Relationship economics "The ROI on meeting interesting people is infinite." My $100k dinner with Wilkinson is a perfect example. That 3-hour conversation will pay dividends for me for years. I bought a $300,000 business with just $60K of my own money. Buying businesses like this made me financially free by 28. Here's how the 60/20/20 capital stack works: STEP 1 Pre-qualify with an SBA-friendly lender. Provide a CV, personal financial statement, and proof of 10-20% cash injection. The lender will screen for businesses with strong debt-service coverage ratios. This is where 90% of buyers fail – they approach lenders with no clear strategy. Present yourself as a qualified buyer who understands the business. Banks fund deals that make sense, not dreams. STEP 2 Structure your capital stack correctly. For a $300K business: • 60% SBA loan ($180K) • 20% seller note at 5% interest ($60K) • 20% your cash ($60K) The seller note must be subordinated to the SBA loan. Then the bank gets paid first if things go south. Sellers actually love financing part of the deal because they get: • Tax deferral (income spread over years) • Emotional comfort during transition • Higher sale price than all-cash offers • Steady retirement income That's why more sellers say yes than you'd think. STEP 3 Create a solid Letter of Intent. Include clear language on price, payment structure, timeline, and contingencies. The critical element is the seller-note subordination clause required by the SBA. This document becomes your roadmap to closing. STEP 4: Close the deal with the right order. • Bank wires 60% to seller • You wire your 20% • Seller signs the note for 20% Then you own a business that pays itself off. That's it. This strategy let me buy my first business in 2018. Within 12 months, I had paid myself back my initial $60K. By year 2, the business covered all debt payments plus my income. Let's say you are a $1 million dollar company and ran your P&L for 2024 and it shows you have a 10% profit BUT you have NO CASH IN THE BANK....Want to know why? Your shop mortgage...bet you still have a loan on it. Get MY POINT? 83% of small business owners are living paycheck to paycheck and the reason is due to poor CASH FLOW. So, what can you do to get out this rat race? It starts with making smart business buying decisions...BUT, what do THOSE LOOK LIKE? Smart buying decisions looks like this... 1. Rent specialty equipment if you rarely use it, don't buy. 2. Invest into bulk bins at your shop facility. 3. Onsite fuel tanks...skip the gas stations. 4. Cancel subscriptions that you probably don't use. 5. Leverage your vendors for extended payment terms. 6. Take advantage of EOPs (Early Order Programs). 7. Skip the Starbucks and buy a Keurig. 8. Hire a VA if you only need part time office help. 9. Invest the extra cost into full synthetic oil changes and say no to conventional oil. 10. Invest in a Dingo or similar and fun a 2 man crews vs 3 man crew. The list can go on and on...my point is to watch your spend, don't get yourself into heavy debt and make smart buying decisions. ALWAYS ask yourself these 3 questions before making ANY purchase. 1. Is the purchase that I am about to make good for my company? 2. Is the purchase that I am about to make good for my customer? 3. Can the purchase wait? THIS is your sniff test before making ANY purchase!

Are You Pricing Bids Correctly? Most small businesses lose government contracts because they misprice, misread, or move too fast. 2025 will expose that gap even more. $800B flowed through federal contracts last year. $178B was set aside for small businesses. Yet too many contractors left $100K+ on the table simply because they didn’t know how to price a bid the right way. Not because the work was hard. But because the math was sloppy. The quotes were verbal. The requirements were misread. And the credit wasn’t secured. Here is what I want you to remember: A contract is not won when you submit the proposal.
